Terms of Service and Data Processing Agreement

Welcome to LinGoat. These Terms of Service ("Terms") govern your access to and use of the LinGoat website, applications, and services. By accessing or using LinGoat, you agree to be bound by these Terms.

1. Description of Service

LinGoat is a language learning platform designed to bridge the gap between vocabulary recognition and active sentence production. The service utilizes generative artificial intelligence to provide dynamic grading, granular attribution of user inputs, and interactive language exercises.

2. User Accounts

To access LinGoat’s full capabilities, you must register for an account.

• Accuracy: You agree to provide accurate, current, and complete information during the registration process.
• Security: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
• Age Requirements: You must be at least 13 years old (or 16 years old if residing in the EEA/UK) to create an account. By using LinGoat, you represent that you meet this age requirement.

3. Acceptable Use

You agree not to use LinGoat to:

• Reverse-engineer, decompile, or attempt to extract the source code or underlying AI models of the service, including the use of the service to 'distill' or train a competing generative model
• Submit automated or malicious prompts intended to bypass our grading system, scrape data, or disrupt the generative AI infrastructure.
• Use the service for any illegal or unauthorized purpose.
• Upload content that is harassing, discriminatory, or infringes on third-party copyrights.
• Sensitive data: Do not upload sensitive personal information (PHI/PII, such as Social Security numbers or health data) in prompts.

4. Intellectual Property

• 4.1. Our Content: LinGoat and its original content, features, and functionality—including the proprietary grading algorithms, multi-step AI orchestration mechanics, and granular attribution systems—are owned by LinGoat and are protected by international copyright, trademark, and other intellectual property laws.
• 4.2. Your Content: You retain ownership of the text, sentences, and data you input into the application. By submitting content, you grant LinGoat a non-exclusive, worldwide, royalty-free license to use, host, store, and process such content strictly for the purposes of: (a) providing the service to you, and (b) improving our generative AI grading accuracy and language models through anonymized evaluation and training (c) troubleshooting and support.

5. Data Processing in the United States & GDPR Compliance

LinGoat is committed to protecting your privacy and complying with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

5.1. International Data Transfers to the U.S.

LinGoat’s primary infrastructure, including the servers hosting our application and AI inference models, is located in the United States. By creating an account and using LinGoat, you acknowledge and agree that your personal data (including account details and language learning inputs) will be transferred to, stored, and processed in the U.S.

5.2. Legal Basis and Safeguards (Standard Contractual Clauses)

For users accessing LinGoat from within the European Economic Area (EEA) or the United Kingdom, we legitimize the cross-border transfer of your personal data using Standard Contractual Clauses (SCCs) approved by the European Commission. These clauses guarantee that your data is handled with GDPR-equivalent protections regardless of where the physical servers are located.

5.3. Purpose of Processing

We only process data necessary to deliver the LinGoat service. This includes:

• Evaluating active sentence production and tracking vocabulary progress.
• Orchestrating prompts with our language models to provide real-time grading feedback.
• Maintaining the security, performance, and stability of the application.

5.4. Your GDPR Data Rights

Under the GDPR, you retain full control over your personal data. You have the right to:

• Access: Request a copy of the personal data we hold about you.
• Rectification: Request corrections to any inaccurate or incomplete data.
• Erasure ("Right to be Forgotten"): Request the deletion of your account and associated personal data.
• Portability: Request your data in a structured, commonly used, and machine-readable format.
• Restriction/Objection: Object to our processing of your data under certain circumstances.

5.5. Third-Party Sub-processors and AI Orchestration

To provide our generative grading and dynamic feedback, LinGoat utilizes third-party infrastructure and AI model providers (such as Google Cloud, Cerebras, Open AI or similar).

The current list of sub-processors and third-party providers is published on our website.

• Processing Context: When you submit a sentence for review, your input may be processed by these third-party models to generate feedback.
• Data Minimization: We transmit only the data strictly necessary for the AI to perform the requested grading or translation.
• Authorized Sub-processors: By using the service, you acknowledge and consent to the use of these third-party sub-processors as described in the published list linked above.

6. Limitation of Liability

To the maximum extent permitted by law, LinGoat and its founders, affiliates, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use the service.
• Any unauthorized access, use, or alteration of your transmissions or content.
• The accuracy or reliability of the AI-generated translations or grammar feedback.
• AI-generated feedback is for educational purposes only and may contain hallucinations or inaccuracies

7. Termination Clause

LinGoat reserves the right, in its sole discretion, to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Paid Services & Refunds

Certain features of LinGoat may be subject to payments or subscription fees ("Paid Services"). By opting to use Paid Services, you agree to the pricing and payment terms as displayed on our website or application. Payments are processed through authorized third-party billing providers.

• No Refunds: Unless otherwise required by applicable law (such as the 14-day withdrawal period for users in the European Union/EEA), all fees are non-refundable.
• Subscription Cancellation: You may cancel your subscription at any time; however, you will continue to have access to the Paid Services until the end of your current billing period.
• Changes to Pricing: We reserve the right to modify our pricing at any time. Any price changes will be communicated to you in advance and will apply to the next billing cycle following the change.

9. Modifications to the Service and Terms

We reserve the right to modify or discontinue LinGoat (or any part thereof) at any time without notice. We may also revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use the service after revisions become effective, you agree to be bound by the revised Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

These Terms of Service were originally written in English (US). We may translate these Terms into other languages for your convenience.
